Terms of Service
Introduction
These Terms of Service constitute the full legal agreement between you and ZipBridge that governs your use of the ZipBridge teleconferencing service and website (“Service”). Your use of the Service constitutes acceptance of these terms. “You” refers to the individual or company who registered for the service and / or provided their credit card number for payment and the Email of Record is the email address provided at service registration, which may be changed by you as needed.
Service
ZipBridge will provide the Service in accordance with these Terms of Service. ZipBridge may, at its sole discretion modify features of the Service from time to time and if such changes are deemed material by ZipBridge, it shall use its best efforts to notify you accordingly via the Email of Record. Because the use of the Service involves a telephone, hardware, software, and Internet access, your ability to use the Service may be affected by the performance of these components and you acknowledge and agree that such system requirements, which may be changed from time to time, are your responsibility to maintain.
Service offered on a best-efforts, as-is basis
You understand and acknowledge that the Service is being provided on a best efforts, as-is basis. ZipBridge has made its best efforts to test the product and to continue to support and maintain the service, but it may not work correctly at all times, or in all circumstances. You assume all risks and all costs associated with your use of the service, including: inability to initiate, complete or access a call, call quality, number of users on a call, call recording, call management, and any customer data stored on our systems.
Changing/Discontinuing the Service
ZipBridge reserves the right to modify, suspend or stop the Service (or any part thereof), either temporarily or permanently at any time or from time to time, however such changes of the service assuming it is planned in advance shall be proceeded with a notification to you at the Email of Record. If service is terminated (not for cause) you shall be entitled to a pro-rated refund of any advance payments made to ZipBridge. If service is terminated for you for cause due to violation of any portion of this Agreement, no service credit shall be due.
Acceptable Use
By using the Service you agree you are using it for normal business or personal conference calling needs and the outbound calls made with the Service shall represent the normal national average calling patterns as far as termination to high and low cost Area Codes and Exchanges. It will not be used for any nefarious or criminal purposes nor as a way to circumvent paying toll charges into traditionally high cost access locations. You should not be accessing the service in an attempt to hack or reverse engineer any of its functionality. There should be no sharing of access to the application to parties outside of your organization, nor within your organization if the purpose is to run up excessive usage. All of the other guidelines within these terms of service shall be observed and should ZipBridge determine the Service is not being used consistent with any of these terms ZipBridge reserves the right to terminate service at its own discretion with our without notification of same to you.
Your Account
You are responsible for all activity that takes place under your account. You agree that you are responsible for keeping your password confidential and secure, and further understand that you are solely responsible and liable for any activities and resulting overage charges that occur under your account. Sharing account access information with others in your organization is not a violation of this agreement per se, but it will compromise your ability to maintain the security of the data you have stored on the application and the privacy of individual conference calls. You have the ability at anytime to change both password access to the account, Group Member Information and the dial-in PIN so ultimately security is within your control and is fully your responsibility.
Spam Phone Calls, SMS Messages or Email
You agree that you will not use the Service to initiate unwanted (Spam) phone calls, SMS messages or emails to anyone. Your further agree not to use the Service to communicate any message or material that is harassing, libelous, threatening, obscene, indecent, would violate the intellectual property rights of any party or is otherwise unlawful. ZipBridge reserves the right to investigate and take appropriate action against anyone who, in ZipBridge’s sole discretion, is suspected of violating this provision, including without limitation, reporting you to law enforcement authorities.
Recordings
ZipBridge allows a conference host to record any conference, and to access that recording for 10 days, after which time recordings will no longer be available. To the degree you record any Services, you acknowledge that applicable State and/or Federal laws may require participants to be informed that a call is being recorded and you agree to notify participants that a call is being recorded. You also agree to hold ZipBridge harmless for all efforts undertaken by ZipBridge to record and/or provide you with recorded conversations as a result of your use of the Service.
Charges
You agree that ZipBridge may charge your credit card all amounts due and owing for the Service, including Service and overage fees. ZipBridge may change prices at any time however notice shall be provided to you in advance of any changes to the Email of Record. You will be responsible for all costs and expenses incurred by ZipBridge in connection with collection activity, and ZipBridge may collect interest at the lesser of 1.5% per month or the highest amount permitted by law on any amounts not paid when due.
Cancellation
ZipBridge has a policy of customer satisfaction. We offer a “no questions asked” refund if requested within the first 30 days of an Annual Plan and the refund will be for the full amount paid for the year less any usage overage 300 minutes. If you decide to cancel an Annual Plan for service related issues after the first 30 days the refund will be for the pro-rated amount of the number of full months remaining on the Plan less any Plan overage charges. Non-use, or changes in your commercial situation, etc are not legitimate reasons for cancellation after the first 30 days.
No Resale
You agree that you will not reproduce, copy, duplicate, sell, resell, rent or trade the Service (or any part thereof) for any purpose, without express consent of ZipBridge.
Privacy
Our use of any of your personal information you provide is subject to ZipBridge’s current Privacy Policy found at www.ZipBridge.net. ZipBridge reserves the right to use your name and/or company and/or website address in our promotional materials unless otherwise agreed in writing.
ZipBridge Proprietary Rights
You acknowledge that we own the Service, and that it contains proprietary and confidential information that belongs to us.
Modifications to Terms of Service
ZipBridge may amend these Terms at any time by posting a revised Terms of Service on our website (www.ZipBridge.net). You will be notified at the Email of Record of such changes only if ZipBridge at its sole discretion determines such changes are material to the use of the service.
Indemnity
You hereby agree, at your expense, to indemnify, defend, and hold ZipBridge harmless from and against any loss, cost, damages, liability, or claim related to your use of the Service.
General Terms
These terms are governed in all respects by the laws of the State of Pennsylvania as such laws are applied. Both parties submit to personal jurisdiction in Pennsylvania and further agree that any cause of action relating to these Terms shall be brought in a court in Bucks County, Pennsylvania. If any provision of this agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
